Overview

We have extensive jury trial, bench trial, and arbitration experience in commercial disputes involving multi-million dollar claims for breach of contract, consumer fraud, construction defect, and insurance bad faith.  We also have experience with financial disputes involving breach of fiduciary duty, wrongful dissolution of corporations and partnerships, corporate oppression, trade secrets, restrictive covenants, real estate litigation, and substantive bankruptcy matters.

Representative matters

Lozano, et al. v. Mayer, et al.

Cook County, Illinois

Prosecuted action for breach of fiduciary duty, fraud, and wrongful dissociation by two limited liability owners against managing member of company who misappropriated funds and forced the two plaintiffs out of their real estate franchise.  After a bench trial, judgment entered in favor of plaintiffs in excess of $1.2 million.

District of Arizona

Defended Audit Committee member of Boston Chicken, Inc., against allegations of negligence, breach of fiduciary duty, and civil conspiracy in connection with claimed deepening insolvency and damages of $1 billion.

Accounting Counseling & Representation

Cook County, Illinois

Counseled CPAs regarding separation from national accounting firm and potential application of non-compete agreements.

Newbury Plaza v. Degen & Rosato

Cook County, Illinois

Defended general contractor against allegations of construction defect at commercial premises.  Suit settled on nuisance basis.

Real Estate LLC Separation

Cook County, Illinois

Represented three real estate entity owners pre-litigation with respect to separation from third owner.  Dispute resolved without litigation.

Law Firm Separation

Cook County, Illinois

Represented two of three law firm owners in litigated matter regarding firm dissolution and separation from third owner.

Coats v. Cincinnati

Cook County, Illinois

Defended insurer in litigated uninsured motorist claim with allegations of bad faith regarding left-turning uninsured motorist as the result of which plaintiff claimed low back injury and medical bills in excess of $200,000, plus lost income claim.  Case settled for less than half of claimed special damages.

Young, et al. v. Lake Cook Court, et al.

Lake County, Illinois

Defended general contractor against allegations of construction defect in connection with six high-end residences.  Case settled on favorable terms.

Epstein v. Gleeson, Sklar, et al.

Cook County, Illinois

Represented CPA firm seeking preliminary injunction for enforcement of non-competition and employee non-solicitation provisions of partnership agreement and money damages for breach of fiduciary duty by former partner.  Settlement subject to confidentiality provision.

In re Wickes, Inc.

United States Bankruptcy Court, Northern District of Illinois

Represented contractor in connection with perfection and enforcement of mechanics lien against bankruptcy estate.

In re RHC/Spacemaster Corporation, et al.

United States Bankruptcy Court, Northern District of Illinois

Selected to serve on Post-Confirmation Committee for Chapter 11 reorganization of RHC/Spacemaster and four related entities, including oversight of claims against directors and officers.

RHC Spacemaster Corporation, et al. v. Cargo Master

United States Bankruptcy Court, Northern District of Illinois

Defended freight broker in adversary proceeding by debtor-in-possession resulting from preference claim.  Case dismissed without payment.

In re Berkshire

United States Bankruptcy Court, Northern District of Illinois

Successfully vacated $900,000 bankruptcy court judgment against debtor-in-possession/landlord with respect to claimed property damage and business interruption.

Urbina v. Velez

Northern District of Illinois

Represented Mexican national in action seeking return of an abducted child pursuant to the Hague Convention and International Child Abduction Remedies Act.

Earth Grains v. Southern Bakeries

Cook County, Illinois

Represented corporate business seller in AAA arbitration resulting from alleged under-accrual of $800,000 in real and personal property taxes at date of sale in connection with asset purchase agreement.

Viskase v. Carlson Marketing Group

Cook County, Illinois

Represented corporate plaintiff in breach of contract action against travel services provider.

Ecker and Associates, Inc. v. McCann

Cook County, Illinois

Secured dismissal from AAA arbitrator in favor of controlling shareholder in claim arising out of stock repurchase agreement.

Chiurato v. Polen and Nevin, et al.

LaSalle County, Illinois

Defending directors of property owner board against allegations of negligence and breach of fiduciary duty in connection with maintenance of common areas, including dam which breached.
